Tom is a corporate tax partner in the Birmingham office who brings experience and pragmatism to complex tax problems. Tom's practice has a particular emphasis on private equity, indirect real estate and equity incentives. Tom has considerable experience in a wide range of M&A transactions with a particular emphasis on private equity, indirect real estate and the energy sector and is well versed in a wide range of property holding structures including REITs, QAHCs, Limited Partnerships and Property Unit Trusts, resident in both the United Kingdom and offshore. Tom's practice area also includes equity incentive arrangements and he is able to provide pragmatic and effective legal advice on the cross over between investor fund structures and management incentives through carry arrangements, sweet equity and long term incentive plans. Tom also has a good understanding of and regularly advises on group demergers and restructurings and on a range of financing tax matters, both UK and international. |
